Terms and Conditions of Use

Welcome to Orbit — a digital platform operated by Tri-State Ground Transportation, LLC, a licensed ground transportation company based in Brooklyn, New York (“Orbit,” “we,” “our,” or “us”).

By downloading, accessing, or using the Orbit mobile application or website (collectively, the “App”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, you may not use the App or any services provided through it.

1. Scope of Services

Orbit is a technology platform that allows users (“Passengers,” “you,” or “your”) to request and schedule ground transportation services (“Rides”) from professional drivers operating under the licenses and management of Tri-State Ground Transportation, LLC.

Orbit itself does not provide transportation services; all driving services are performed by licensed, independent operators affiliated with Tri-State Ground Transportation, LLC or its approved partners.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding contract under applicable law. By using Orbit, you represent that you meet these requirements and that all account information provided is accurate and complete.

3. User Account

To use Orbit’s services, you must register for an account. You are responsible for maintaining the confidentiality of your login credentials and all activity that occurs under your account.

You agree to promptly update your information if it changes and notify Orbit immediately if you suspect unauthorized use of your account.

6. License and Intellectual Property

Orbit grants you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, lawful purposes only.

All intellectual property rights in the App, including its design, text, graphics, and software, are owned or licensed by Orbit. You may not reproduce, modify, distribute, decompile, or reverse-engineer any part of the App.

Orbit provides access to transportation booking services on an “as is” and “as available” basis. To the maximum extent permitted by law:

To the fullest extent permitted by law, Orbit and Tri-State Ground Transportation, LLC are not liable for indirect, incidental, or consequential damages, including but not limited to loss of profits, data, goodwill, or personal injury, arising out of the use of the App or services.

In all cases, Orbit’s total liability shall not exceed the amount paid for the specific ride giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless Orbit, Tri-State Ground Transportation, LLC, their affiliates, officers, employees, and agents from any claims, damages, or expenses (including attorneys’ fees) arising out of your misuse of the App, violation of these Terms, or infringement of third-party rights.

10. Termination

Orbit may suspend or terminate your access to the App or services at any time without notice if you breach these Terms, misuse the platform, or engage in conduct harmful to others or to Orbit’s operations. You may stop using the App at any time by closing your account or deleting the application.

11. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of Orbit shall be resolved by binding arbitration administered in New York, under New York State law, before a single arbitrator.

You waive the right to a trial by jury and agree not to participate in any class, collective, or representative action.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to conflict-of-law principles. Venue for any permitted court proceedings shall lie exclusively in Kings County, New York.

13. Changes to These Terms

Orbit reserves the right to modify these Terms at any time. Updates will be posted in the App or on our website, and continued use after such notice constitutes acceptance of the revised Terms.

15. Entire Agreement

These Terms constitute the entire agreement between you and Orbit regarding your use of the App and supersede any prior agreements or understandings.

16. SMS and Phone Verification

By creating an account, you acknowledge and agree that Orbit may send short, one-time verification codes (“Security Codes”) to the phone number associated with your account. These codes are used solely to:
